Direct Counsel is seeking a
Technology M&A Senior Associate Attorney to join a leading law firm. The ideal candidate will have 5+ years of sophisticated M&A experience, with a focus on representing technology companies and venture capital investors in complex transactions. Candidates should be comfortable working collaboratively while independently managing significant components of transactions and client relationships.

Responsibilities:
- Represent early- and late-stage technology companies and leading venture capital investors in sophisticated mergers and acquisitions and related corporate transactions.
- Advise clients throughout the lifecycle of M&A transactions, including transaction structuring, due diligence, negotiation, signing, and closing.
- Manage significant components of transactions independently while collaborating effectively with partners and other members of the deal team.
- Draft, review, and negotiate merger agreements, ancillary transaction documents, and other corporate and M&A documentation.
- Conduct and oversee legal due diligence in connection with acquisitions and dispositions.
- Work directly with clients, opposing counsel, investment bankers, and other transaction professionals.
- Manage internal and external client and counsel relationships throughout transactions.
- Provide practical, business-oriented legal advice and help clients navigate complex transactional issues.
- Manage multiple sophisticated transactions and competing deadlines in a fast-paced environment.
- Take an active role in mentoring junior attorneys and contributing to the development of the broader M&A practice.
Qualifications:
- 5+ years of law firm experience with substantial M&A and transactional experience.
- Significant experience representing technology companies in mergers and acquisitions.
- Experience representing both early- and late-stage technology companies is preferred.
- Experience representing venture capital investors is preferred.
- Strong understanding of M&A transactions, including transaction structuring, diligence, negotiation, and closing processes.
- Demonstrated ability to independently manage substantial components of sophisticated transactions.
- Proactive approach with strong business judgment and commercial awareness.
- Proven ability to effectively manage internal and external client and counsel relationships.
- Outstanding academic credentials and comparable law firm experience.
- Excellent written and verbal communication skills.
- Strong organizational, analytical, and interpersonal skills.
- Relevant bar admission or eligibility to obtain admission promptly.
- Deal sheet required.
Compensation: $365,000+ annually, plus potential bonus and comprehensive benefits. Compensation may vary based on experience, qualifications, location, and other applicable factors.
